By creating an account, accessing the Service, or using any API provided by NinzaTools, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and accept these Terms in full. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

NinzaTools provides a WhatsApp API Gateway that allows registered users to send and receive WhatsApp messages programmatically by linking their own WhatsApp accounts. The Service includes:

• A REST API for sending messages
• A web dashboard for managing instances, messages, and API keys
• Analytics and delivery tracking features
• Webhook support for receiving messages and delivery receipts

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

To use the Service, you must register for an account by providing accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials and API keys
• All activity that occurs under your account
• Promptly notifying us of any unauthorized use of your account
• Keeping your account information accurate and up to date

You may not share your account with others or create multiple accounts for abusive purposes. We reserve the right to suspend or terminate accounts that violate these Terms.

You agree to use the Service only for lawful purposes. You must not use the Service to:

• Send unsolicited bulk messages (spam) or messages to people who have not consented to receive them
• Harass, threaten, intimidate, or harm any individual
• Violate WhatsApp's Terms of Service or any applicable laws
• Distribute malware, phishing content, or any harmful code
• Impersonate any person, business, or entity
• Conduct illegal lottery, pyramid schemes, or fraudulent activities
• Send content that is defamatory, obscene, or violates the rights of any third party
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Circumvent any rate limits, access controls, or security features

We may suspend or terminate your account immediately and without notice if we determine, at our sole discretion, that you have violated these acceptable use policies. We may also report violations to relevant authorities.

Your use of the API is subject to the limits defined by your subscription plan:

• Free plan: 100 messages per day, 1 WhatsApp instance
• Starter plan: 1,000 messages per day, 3 WhatsApp instances
• Pro plan: 10,000 messages per day, 10 WhatsApp instances

Requests that exceed your daily limit will receive a 429 Too Many Requests response. Daily limits reset at midnight UTC. We reserve the right to throttle or suspend API access if we detect patterns that appear abusive or that degrade service for other users, even within stated limits.

You are responsible for securing your API keys. Do not expose them in public repositories or client-side code. If a key is compromised, rotate it immediately from your dashboard.

Paid plans are billed on a monthly recurring basis. By subscribing to a paid plan, you authorize us (or our payment processor) to charge your payment method on file at the start of each billing cycle.

• Cancellation: You may cancel your subscription at any time from your account settings. Your plan will remain active until the end of the current billing period; no partial refunds are issued for unused time.
• Upgrades/Downgrades: Plan changes take effect at the start of the next billing cycle unless otherwise stated.
• Failed Payments: If a payment fails, we will attempt to retry the charge. If the issue is not resolved within 7 days, your account may be downgraded to the free plan.
• Taxes: Prices listed do not include applicable taxes. You are responsible for any taxes imposed on your purchases.

We reserve the right to change our pricing at any time with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

The Service and all its contents, features, and functionality — including but not limited to software, text, graphics, logos, and API design — are the exclusive property of NinzaTools and are protected by applicable intellectual property laws.

You retain ownership of any content you send through the Service. By using the Service, you grant us a limited, non-exclusive license to process, transmit, and store your content solely to the extent necessary to provide the Service.

You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written permission.

Either party may terminate this agreement at any time. You may delete your account from your account settings. We may suspend or terminate your access to the Service immediately and without notice if:

• You violate these Terms or our Acceptable Use Policy
• We are required to do so by law
• We decide to discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, disclaimer of warranties, indemnification, and limitations of liability.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee that messages will be delivered, as delivery depends on factors outside our control including the recipient's WhatsApp availability and mobile network conditions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NINZATOOLS, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR ₹1,000 (WHICHEVER IS GREATER).

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.
